IPM Software Terms and Conditions

Welcome to IPM Software. By accessing and using our services, tools, and website, you agree to be bound by these Terms and Conditions. These terms govern your use of our services and outline your rights, responsibilities, and obligations when engaging with IPM Software.

2. Scope of Services

IPM Software provides customised software integrations, project management tools, and consulting services. The scope of the services provided will be outlined in a separate agreement or statement of work, detailing the specific deliverables, timelines, and responsibilities.

3. Client Responsibilities

To ensure the successful delivery of our services, the Client agrees to:
Provide timely access to relevant systems, tools, and personnel.
Ensure the accuracy and completeness of any information shared with IPM Software.
Comply with any applicable laws, regulations, and licensing requirements for the use of integrated tools and platforms.
Failure to meet these responsibilities may impact the delivery of our services and may result in additional
fees or delays.

4. Payment Terms

The Client agrees to pay all fees associated with the services as outlined in the Agreement or statement of work. Payment terms include:
Fees are due upon receipt of the invoice unless otherwise specified.
Hours purchased in advance are nonrefundable. Any unused hours will not be reimbursed or credited unless otherwise agreed in writing.

5. Intellectual Property

Any intellectual property created by IPM Software during delivering the services will remain the property of IPM Software unless otherwise agreed in writing. The Client will receive a license to use the deliverables as specified in the Agreement.

The Client is responsible for ensuring they have the appropriate licenses for any thirdparty tools or platforms that are integrated as part of our services.

6. Confidentiality

Both parties agree to keep confidential any information shared while the engagement. Confidential information includes, but is not limited to, business strategies, technical information, and any other proprietary data.
Confidentiality obligations do not apply to information that:

Is publicly available.
Was known prior to disclosure.
Is independently developed without the use of confidential information.
Is required to be disclosed by law.

7. Service Warranties

IPM Software warrants that the services provided will be performed with reasonable skill and care.
However, we do not guarantee that the services will be error
free or that all issues will be resolved.
We are not responsible for any issues arising from third
party tools or platforms used as part of the services.

8. Limitation of Liability

To the maximum extent permitted by law, IPM Software will not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability for any claims under this Agreement will be limited to the fees paid by the Client for the specific services in question.

9. Termination and Freedom of Movement

Either party may terminate the Agreement at any time by providing written notice. There is no obligation for the Client to remain tied to the contract for a set period. The Client is free to end the engagement without any penalties or restrictions.

Upon termination, the Client agrees to pay for any services rendered up to the termination date. Any hours purchased but not used at the time of termination will not be refunded.

This flexible approach ensures that both parties can adapt to changing business needs without feeling locked into a longterm commitment.

10. Governing Law

These Terms and any disputes arising under them will be governed by the laws of Ireland. Both parties agree to submit to the exclusive jurisdiction of the courts of Ireland.

11. Changes to the Terms

IPM Software reserves the right to update these Terms from time to time. Any changes will be communicated to the Client and will take effect upon publication.
